DIGITAL MEDIA AGREEMENT

These terms and conditions apply to all VirtuBrands Media Social Media Management Service Agreements. 

1) LEGAL LIABILITY

1.1 The Client shall indemnify and indemnified VirtuBrands Media Ltd from and against any and all proceedings, claims, losses, expenses or liabilities which VirtuBrands Media Ltd may incur or sustain. 

1.2 The Client agrees to indemnify and hold harmless VirtuBrands Media Ltd from any loss, liability, damage, or costs, including court costs and attorneys' fees that may incur. 

1.3 VirtuBrands Media Ltd has no control over the policies of Facebook, Twitter, YouTube, LinkedIn and all other social media channels being utilised for campaigns. VirtuBrands Media Ltd has no say with respect to the type of content that social media channels accept now or in the future. 

1.4 The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to VirtuBrands Media Ltd for inclusion in any campaigns are owned by you, or that you have received permission from the rightful owner(s) to use each of the elements. 

1.5 VirtuBrands Media Ltd reserves the right to reject or discontinue the social media services where we are unable to provide the services due to technical, ethical, legal, or other matters. Where applicable, VirtuBrands Media Ltd will refund your money for any services not yet rendered. 

1.6 No liability whatsoever (except as provided by law) will be accepted by VirtuBrands Media Ltd for any damages or losses arising from or as a consequence of the provision of the Services. 

2) COPYRIGHT

2.1 The copyright and concept of all work produced rests initially with VirtuBrands Media Ltd. 

2.2 Following payment of all outstanding and remaining fees by The Client, copyright shall be deemed to have passed over to The Client, unless other arrangements are made. 

2.3 VirtuBrands Media Ltd will endeavour to ensure that all copyrights appropriate to third party suppliers will also be transferred to The Client. VirtuBrands Media Ltd cannot be held responsible for third party supplier’s copyright agreements. 

2.4 As part of the agreement The Client shall permit VirtuBrands Media Ltd right for use of information of company portfolios. 

3) CONFIDENTIALITY

3.1 VirtuBrands Media Ltd acknowledges its responsibility not to disclose, unless with the permission with The Client, any confidential information relating to people, products, services or plans and other business information relating to The Client and/or disclosure of information that could be damaging to the business of The Client. 

3.2 The Client acknowledges the right of VirtuBrands Media Ltd to use, as it sees fit, any general intelligence regarding projects, products or services which it has gained in the course of this Agreement and the right to disclose to third parties the name of The Client as a current or previous client. 

From time to time, VirtuBrands Media Ltd may update and change the Terms and Conditions without notice. The client is responsible for regularly reviewing the most current version of the Terms of Service which are available at www.virtubrands.com
